We are seeking a highly organized and detail-oriented Corporate Clerk / Paralegal to join our Legal team. This role is essential to maintaining the infrastructure across Beacon and its growing portfolio of companies. The successful candidate will be responsible for managing corporate records, entity administration, minute books, DBAs, and compliance obligations across multiple jurisdictions in both the U.S. and Canada.
Responsibilities
- Corporate Records & Entity Management: Maintain and organize all corporate records, minute books, registers, and governing documents for Beacon and each portfolio company. Ensure records are current, complete, and accessible for internal stakeholders and external advisors.
- Minute Book Management: Prepare, circulate, and file board and shareholder resolutions, meeting minutes, written consents, and annual organizational documents. Coordinate board and shareholder meeting logistics and maintain proper documentation of all governance actions.
- Entity Administration: Support the formation, registration, qualification, and dissolution of entities across U.S. states and Canadian provinces. Coordinate tax ID applications (EIN/BN), registered agent appointments, and ongoing entity maintenance.
- DBA & Trade Name Filings: Manage the registration, renewal, and withdrawal of “Doing Business As” (DBA) and trade name filings across all relevant jurisdictions. Maintain a centralized tracker of all active DBAs and renewal deadlines.
- Cross-Jurisdictional Compliance: Monitor and ensure compliance with corporate filing obligations across multiple U.S. states and Canadian provinces, including annual reports, business licenses, and foreign qualification requirements. Track regulatory deadlines and proactively flag upcoming obligations.
- Regulatory Filings & Government Correspondence: Prepare and file state/provincial annual reports, amendments, and other statutory filings. Track and respond to correspondence from regulatory authorities, including CRA surveys, IRS notices, and state/provincial information requests.
- Advisor Coordination: Serve as the primary point of contact for external counsel, registered agents, accountants, and other service providers on entity-level matters. Coordinate information requests, manage timelines, and ensure deliverables are completed on schedule.
- KYC & Compliance Documentation: Gather, maintain, and organize Know Your Customer (KYC) documentation for Beacon’s stakeholders, investors, and banking relationships. Prepare and maintain W-9 forms, beneficial ownership filings, and other compliance documentation.
- Post-Acquisition Integration Support: Assist with corporate governance integration following portfolio company acquisitions, including entity restructuring, name changes, officer/director updates, and alignment with Beacon’s governance standards.
Intellectual Property Portfolio: Create, manage, and maintain an intellectual property database across portfolio companies. Coordinate with external counsel on trademark, patent, and other IP registrations, renewals, and filings.
- Process Improvement & Systems: Develop and maintain compliance calendars, tracking systems, and standard operating procedures. Identify opportunities to streamline corporate governance processes and reduce risk across the portfolio.
Qualifications
- 3–5 years of experience as a corporate clerk, paralegal, or in a corporate governance / legal support role, ideally within a multi-entity environment (private equity, venture capital, or holding company experience preferred).
- Strong knowledge of corporate governance practices, minute book management, and entity lifecycle administration, including a strong working understanding of Canadian and U.S. corporate entity law (federal and provincial/state) and how it applies to multi-entity structures.
- Familiarity with U.S. state and Canadian provincial corporate filing requirements, including annual reports, foreign qualifications, and DBA registrations.
- Experience managing cross-jurisdictional compliance obligations and coordinating with registered agents and external counsel.
- Exceptional organizational and project management skills, with the ability to manage multiple deadlines, entities, and advisors simultaneously.
- Excellent written and verbal communication skills for coordinating with internal teams and external stakeholders.
- High attention to detail and commitment to accuracy in all documentation and filings.
- Proficiency with Microsoft Office and/or Google Workspace; experience with entity management software (e.g., Diligent Entities, Athennian, or similar) is a plus.
- Paralegal certificate or diploma preferred; law clerk designation (in Canada) is an asset.
- AI-proficient and comfortable using modern AI tools (e.g., ChatGPT, Claude, Copilot, and workflow automation platforms) to accelerate research, drafting, tracking, and repetitive legal operations work. - Self-directed operator who can own the corporate governance function end-to-end with minimal supervision – setting priorities, driving deadlines, managing advisors, and leading cross-functional projects independently. Comfortable making judgment calls, escalating only what truly needs escalation, and running this workstream as the internal expert.
