Purpose
At a critical time in the company’s growth, the Corporate Counsel will serve as a cross-functional, legal partner for multiple business units and functional teams, including sales, procurement, and product; develop processes to support and execute on mission critical commercial and corporate workstreams; and mature legal and compliance functions.
The Role
- Contract Negotiation, Drafting, and Management. Partner with senior lawyers, contracting officers, and business team leads to draft, review, negotiate, and manage the full lifecycle of a variety of commercial contracts across business units, including technology and SaaS agreements, supply contracts, professional services agreements, statements of work, and other commercial agreements.
- Maturation of Legal Processes. Assist in developing legal SOPs and support training efforts to educate internal teams on legal standards and regulatory expectations.
- Regulatory Compliance. Track regulatory compliance requirements and flow downs, advise on global trade compliance frameworks (e.g., EAR/ITAR classifications, licensing), and prepare associated company policies.
- Contract Hygiene. Support contract management and hygiene, including storage, execution, and operational compliance.
- Investigation and Dispute Support. Provide ad hoc support to senior lawyers with investigations and/or disputes impacting the company.
- Czinger Vehicles. This role will also support Divergent’s subsidiary company, Czinger Vehicles, maker of the fastest street-legal hypercar — including contract negotiations, and navigating automotive regulatory compliance in global jurisdictions.
Basic Qualifications
- Bachelor's degree
- Juris doctorate
- 3+ years of experience with complex commercial transactions, M&A, and/or regulatory compliance. Qualified candidates with litigation backgrounds who are interested in transitioning to transactional and counseling work will also be considered.
- Ability to lawfully access information and technology that is subject to US export controls
- Excellent judgment, discretion, and organizational skills
- Excellent verbal and written communications skills, including the ability to interact with colleagues at all levels of the corporate organization as well as investors and outside counsel
- Ability to prioritize and handle numerous competing demands in a fast-paced working environment
- Ability to identify and resolve or escalate issues in a timely manner
- Willingness to roll up your sleeves and dive into a wide range of matters
- Ability to lawfully access information and technology that is subject to US export controls
Preferred Qualifications
- Experience at an AM Law 50 Law Firm
- Experience in the aerospace, defense, or automotive industries
Work Environment
- This position is onsite or hybrid and based in our Torrance, CA office
Compensation
At Divergent, our pay range is based on the level of the job. For this role, we will consider candidates at level S06 as evaluated through our interview process.
- S06 Corporate Counsel: $148,430 USD - $204,090 USD
